IoTReady Technology Solutions Pvt Ltd provides SaaS services through https://iotready.com/.

1. Acceptance of terms

Continued use of services constitutes acceptance of all terms and conditions. The company reserves rights to modify terms at any time, effective upon posting. Users must review these terms regularly as modifications become binding upon continued service use.

Key point. We own and hold the relevant rights to the IoTReady Platform and will license the use of the Platform.

2. User representations

Users warrant they are legally able to form contracts and not barred from services in India or applicable jurisdictions. Users must provide truthful, current, and complete registration information. The company reserves the right to suspend or terminate accounts for false or incomplete information.

Usage restrictions. Content cannot be downloaded, copied, or distributed without written consent. Services must not be used for illegal purposes, and use must comply with all applicable laws.

3. Services

The provider owns all intellectual property rights to software and documentation. The company reserves rights to modify or remove features with 30 business days’ notice. The provider is not liable for third-party service failures or customer environment issues.

4. Service license

In exchange for fees, customers receive a non-exclusive, non-transferable, revocable license to access and use services per the provider’s intended purpose. Licensed use permits access for authorized users and embedding services into customer offerings.

5. License restrictions

Customers cannot resell, transfer, or provide others access to services. Prohibited activities include:

Framing or mirroring services on alternative servers
Copying, modifying, or creating derivative works
Reverse engineering or altering copyright notices

6. Customer responsibilities and obligations

Customers must provide required materials and ensure compliant use. Customers remain responsible for:

All account security and user conduct
Content posted under their accounts
Maintaining password security
All activity occurring under their accounts

The provider may alter login credentials at any time. Technical transmissions may be unencrypted and involve network adaptations.

7. Intellectual property rights

No agreement provisions transfer intellectual property rights between parties. The provider reserves rights to refuse or remove inappropriate, illegal, or rights-infringing content.

8. Privacy

Refer to our Privacy Policy for details on how we handle your personal information.

9. Termination or suspension

Customers may terminate with 30 days’ written notice. The provider may terminate with 30 business days’ notice if customers breach obligations or if service provision becomes impossible.

Upon termination, the provider stops service delivery and returns customer property. Customers must cease service use, return provider property, and pay outstanding fees.

10. Representations and warranties

Both parties represent they possess legal capacity to enter agreements and that no insolvency has occurred. The provider warrants services do not infringe third-party rights. However, services are not guaranteed error-free or uninterrupted.

11. Indemnity and liability

Customers indemnify the provider against actions arising from non-compliance, service use, or intellectual property infringement.

Liability limitations. Maximum liability equals total fees paid. The provider is not liable for lost profits, revenue, data, or unavailability. The provider bears no liability for force majeure events, customer environment faults, or customer conduct.

Customers indemnify the provider against unauthorized service use, authorized user access, personal injury, or property damage claims.

12. Third party

The provider uses third-party hosts and is not liable for service interruptions caused by these providers. Services incorporate Google features governed by Google’s Privacy Policy.

13. Subcontracting

The provider may engage subcontractors to perform services on its behalf.

14. Non-solicitation

Customers agree not to solicit or recruit actual or prospective clients, employees, contractors, or developers of the provider during the agreement term.

15. Waiver and severability

The provider’s failure to enforce terms does not constitute waiver. If provisions are deemed invalid, courts should apply the parties’ intended meaning, with remaining provisions staying in full effect.

16. Governing law and venue

These terms are governed by Indian law. Disputes are subject to exclusive jurisdiction of courts in Bangalore.
